Terms of Service

These Terms of Service (“Terms”) govern your access to and use of clipsavv’s websites, applications, and related services (the “Services”). clipsavv operates from Kenya. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
This document is provided for informational and draft purposes only and does not constitute legal advice. You should have Kenyan-qualified counsel review it before publication.
1. Eligibility
You must be able to form a binding contract in your jurisdiction to use the Services. You may not use the Services if you are prohibited from doing so under applicable law.
2. Accounts
You may need an account to access certain features. You agree to provide accurate information and to keep your credentials secure. You are responsible for activity under your account except where our systems are compromised through no fault of yours.
3. The Services
We may modify, suspend, or discontinue any part of the Services with reasonable notice where practicable. Features such as campaign listings, submissions, payouts, and integrations may change as the product evolves.
4. Acceptable use
You agree not to:
- Violate applicable laws (including the laws of Kenya) or third-party rights.
- Attempt to interfere with or disrupt the Services or underlying systems.
- Scrape, harvest, or misuse data except as expressly permitted.
- Misrepresent your identity or affiliation or engage in fraudulent activity.
- Upload malware or harmful content.
We may investigate and suspend or terminate access for violations.
5. User content
You may submit clips, links, text, or other materials (“User Content”) where the Services allow it.
You retain ownership of your User Content. You grant us a non-exclusive license to host, display, process, and distribute User Content as needed to operate the Services, improve safety, and comply with law.
You represent that you have the rights needed to grant this license and that your User Content does not violate these Terms or applicable law.
6. Copyright, intellectual property, and clipper responsibility
Clippers (and any other user who submits User Content) are solely responsible for ensuring they have all rights, licences, consents, and permissions needed for that content—including music, video or audio samples, gameplay or broadcast footage, brand or personality rights, and any other copyrighted or protected material.
To the maximum extent permitted by Kenyan law, clipsavv is not liable for copyright infringement or other intellectual property violations arising from User Content submitted by clippers or other users. You agree that you bear full responsibility for your submissions and for any claims by third parties relating to them.
If we receive a valid complaint, a notice of infringement, or we reasonably believe that content may violate someone’s rights or these Terms, we may remove or disable that content on the platform, withhold or reverse related payouts where appropriate, and take further action (including warning or terminating accounts) as required or permitted by law and these Terms.
7. Campaigns, creators, and brands
If you participate as a clipper, client, or other role:
- Follow campaign rules and brand guidelines posted in the product.
- Understand that financial terms (rates, budgets, payouts) are defined by the specific campaign, product flows, and any separate agreements—not solely by these Terms.
- Disputes between participants may be subject to product-specific processes where available.
Nothing in these Terms guarantees any minimum earnings or campaign availability.
8. Intellectual property
The Services, branding, and related materials may be protected by copyright, trademark, and other laws. Except for your User Content or as expressly allowed, you may not copy, modify, or create derivative works without permission.
9. Third-party services
The Services may link to or integrate with third-party platforms (e.g., social networks). Those services are governed by their own terms and policies. We are not responsible for third-party services.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS IN KENYAN SHILLINGS (KES) YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM; OR (B) KES 15,000, EXCEPT WHERE KENYAN LAW PROHIBITS SUCH CAPS OR EXCLUSIONS (INCLUDING THE CONSUMER PROTECTION ACT OR OTHER MANDATORY RULES).
12. Indemnity
You will defend and indemnify us against claims, damages, and expenses (including reasonable legal fees on a solicitor–client basis, where recoverable under Kenyan law) arising from your User Content, your use of the Services, or your violation of these Terms, except to the extent caused by our wilful misconduct or gross negligence, as determined under Kenyan law.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms or if we need to do so for legal, security, or operational reasons.
14. Governing law and disputes
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law rules that would apply another country’s laws.
Unless mandatory Kenyan law (including consumer protection rules) requires otherwise, disputes arising from these Terms or the Services are subject to the jurisdiction of the courts of Kenya. Your counsel can advise whether exclusive jurisdiction in a particular court (for example, Nairobi) suits your business.
15. Changes
We may update these Terms from time to time. We will post the updated Terms and revise the “Last updated” date. If changes are material, we will provide additional notice or consent where required by law. Continued use after the effective date may constitute acceptance.
16. Miscellaneous
If a provision is unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement regarding the subject matter here. Failure to enforce a provision is not a waiver.
